United Spirits seeks shareholder approval for new independent director

United Spirits Limited, a Diageo India company, announced a postal ballot to appoint Narayan K. Seshadri as an independent director for a period of three consecutive years, effective from October 9, 2025, to October 8, 2028. This appointment follows the recommendation of the nomination and remuneration committee and approval by the board of directors on October 8, 2025. Mr. Seshadri, a chartered accountant with over four decades of strategic, financial, and transformational leadership experience, is currently 68 years old.

The e-voting period for this resolution commences on Friday, November 21, 2025, at 9:00 a.m. IST and concludes on Saturday, December 20, 2025, at 5:00 p.m. IST. Members whose e-mail addresses are registered with the company or depositories as of the cut-off date, November 7, 2025, will receive the postal ballot notice electronically. The company has engaged Central Depository Services (India) Limited (CDSL) to facilitate the remote e-voting process.

The results of the postal ballot will be announced on or before Tuesday, December 23, 2025. Mr. Seshadri's extensive experience includes advising boards and chief executives across multiple sectors and geographies on strategy, risk, capital structuring, and business transitions. He also serves as chairperson or member of various committees in several listed companies, including Kalpataru Limited and SBI Life Insurance Company Limited. He holds no equity shares in United Spirits Limited and has no inter-se relationship with any other directors or key managerial personnel of the company.
