Clean Science and Technology promoter group member to receive gifted shares

Asha Ashok Boob, a promoter group member of Clean Science and Technology Limited, will acquire 86,19,490 equity shares, representing 8.11% of the company's share capital, via gift. The shares are being transferred from Parth Ashok Maheshwari (28,09,745 shares) and Nidhi Mohunta (58,09,745 shares). This off-market inter-se transfer will occur on or after November 26, 2025.

The acquisition is structured as a gift, meaning no monetary consideration is involved. The transfer is intended to streamline the family's assets and businesses. This transaction falls under the exemption provided by Regulation 10(1)(a)(i) and (ii) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, as it is an inter-se transfer among promoter group members.

Before the transaction, Asha Ashok Boob held 15,78,902 shares (1.49% of total share capital), which will increase to 1,01,98,392 shares (9.60%) post-transfer. The aggregate holding of the promoter and promoter group will remain unchanged before and after this inter-se transaction.
