BHEL announces remote e-voting for special business item

Bharat Heavy Electricals Limited (BHEL) has issued a notice regarding a postal ballot and remote e-voting for a special business item, as per regulatory requirements. The company dispatched the Postal Ballot Notice via email on November 18, 2025, to shareholders whose email addresses were registered by the cut-off date of November 12, 2025. In accordance with Ministry of Corporate Affairs circulars, physical copies of the notice and form were not sent, requiring shareholders to communicate their assent or dissent solely through the remote e-voting system provided by National Securities Depository Limited (NSDL).

The Postal Ballot Notice, including the explanatory statement, is accessible on BHEL's website (www.bhel.com), the websites of the BSE Limited (www.bseindia.com) and National Stock Exchange of India Limited (www.nseindia.com), and the e-voting agency NSDL (www.evoting.nsdl.com). The remote e-voting period will commence at 9:00 a.m. (IST) on Wednesday, November 19, 2025, and conclude at 5:00 p.m. (IST) on Thursday, December 18, 2025. Once a vote is cast, it cannot be changed. Shri Sachin Agarwal of M/s Agarwal S. & Associates has been appointed as the scrutinizer for the process.

The results of the postal ballot are scheduled to be declared on or before Saturday, December 20, 2025. These results will be published on BHEL's website and NSDL's e-voting agency website, and will also be communicated to the stock exchanges and posted on the company's registered office notice board.
