Axis Trustee Services discloses 7.46% share pledge in Ganesha Ecosphere

Axis Trustee Services Limited (ATSL) has formally disclosed the creation of an encumbrance on 2,000,000 equity shares of Ganesha Ecosphere Limited. This transaction, executed on November 18, 2025, represents 7.46% of Ganesha Ecosphere's total share and voting capital, both before and after the acquisition. ATSL is acting as the pledgee for various facilities, and clarified that it holds no beneficial interest in these pledged shares, operating solely as debenture trustee.

The disclosure, made under Regulation 29(1) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations 2011, details that the shares are in the nature of an encumbrance (pledge/lien non-disposal/undertaking/others). Prior to this acquisition, ATSL held no shares or voting rights in Ganesha Ecosphere.

Ganesha Ecosphere's total equity share capital and voting capital remains unchanged at Rs. 2,67,95,9840, consisting of 2,67,95,984 shares with a face value of Rs. 10 each, as per the shareholding pattern for the quarter ended September 2025 published on the BSE. The pledge does not alter the total diluted share/voting capital of the target company.
