Vistra ITCL pledges additional GMR Power & Urban Infra shares

Vistra ITCL (India) Limited, in its capacity as debenture trustee, has reported the pledging of 36 million equity shares of GMR Power & Urban Infra Limited on November 12, 2025. This transaction, made to secure the issue of non-convertible debentures (NCDs), increases Vistra's total holding in pledged shares to 80 million, representing 11.19% of GMR Power & Urban Infra's total share and voting capital.

Before this pledge, Vistra ITCL held 44 million shares, amounting to 6.16% of the company's total share capital. The latest pledge of 36 million shares now brings their total pledged shares to 80 million, reflecting an 11.19% stake. GMR Power & Urban Infra Limited's equity share capital comprises 714.83 million equity shares, each with a face value of INR 5, totaling INR 3.57 billion.

The disclosure was made under Regulation 29(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, noting that while the primary onus of compliance lies with the lender and debenture holder, Vistra ITCL has made the filing out of caution.
