Som Distilleries acquires Greenagri Nutrients, boosts UP presence

Som Distilleries & Breweries Limited (SDBL) announced the acquisition of Woodpecker Greenagri Nutrients Private Limited (WGNPL), making it a wholly-owned subsidiary. WGNPL, an integrated alcoholic beverage manufacturing project in Farrukhabad, Uttar Pradesh, will enable SDBL to establish a brewery and, in Phase II, a distillery. This move aims to enhance SDBL's product availability, sales, and market reach in Uttar Pradesh and the northern region of India.

The acquisition was approved by WGNPL's Board on November 17, 2025, following SDBL's Board meeting on November 13, 2025. WGNPL is a related party of SDBL due to common directorship, and the transaction was conducted at arm’s length. SDBL acquired 100% of WGNPL’s share capital for cash, with shares acquired at par.

This strategic acquisition is expected to improve operational alignment, streamline decision-making, and foster greater strategic integration within SDBL. It will also facilitate optimal resource utilization, enhanced governance, and a unified approach for future expansion and value creation for all stakeholders.
