Adani Enterprises to hold shareholder meeting for proposed scheme

Adani Enterprises Limited announced the National Company Law Tribunal (NCLT), Ahmedabad Bench, issued an order on November 14, 2025, directing the company to hold a meeting of its equity shareholders. The meeting, scheduled for Monday, December 29, 2025, at 11:00 a.m. IST via Video Conference/Other Audio-Visual Means, will address the proposed Composite Scheme of Arrangement.

The scheme involves the amalgamation of Adani Green Technology Limited and Adani Emerging Businesses Private Limited with Adani Enterprises Limited. It also includes the amalgamation of Adani Tradecom Limited with Adani New Industries Limited. The NCLT has dispensed with meetings for secured and unsecured creditors for all applicant companies, as well as preference shareholders where none exist or consent affidavits have been provided.

As of June 30, 2025, Adani Enterprises Limited has 621,739 equity shareholders. The company had revenue from operations of Rs 26,708.97 crores and profit before tax of Rs 6,053.19 crores during the financial year 2024-2025. The scheme aims to consolidate the green hydrogen ecosystem, enhance operational efficiencies, and simplify the corporate structure.
