GMR Enterprises pledges shares in GMR Power and Urban Infra

GMR Enterprises Private Limited, a promoter of GMR Power and Urban Infra Limited, has encumbered 14,000,000 shares, representing 1.96% of the total share capital. This transaction, categorized as a pledge, occurred on November 11, 2025. The total promoter shareholding in GMR Power and Urban Infra Limited is 361,426,826 shares, with 50.56% of this amount currently encumbered. The encumbered shares account for 77.19% of the promoter shareholding, exceeding both the 50% and 20% thresholds for promoter and total share capital, respectively.

The shares were pledged in favor of VISTRA ITCL (INDIA) LIMITED, acting as a Debenture Trustee. This encumbrance is related to secured, unlisted, unrated, redeemable, and non-convertible debentures issued by GMR Infra Projects Private Limited. The value of the shares on the date of the agreement was INR 1,635,620,000, against an amount involved of INR 3,000,000,000, resulting in a security cover ratio of 0.55.

The borrowed amount from this encumbrance is intended for the personal use of promoters and PACs. The company also noted that the encumbered shares are net off releases on November 07, 2025.
