Tech Mahindra divests Mahindra Racing UK to promoter group company

Tech Mahindra London Limited (TMLL), a wholly-owned subsidiary of Tech Mahindra, has entered into a Share Purchase Agreement to sell its entire stake in Mahindra Racing UK Limited (MRUK) to Mahindra Overseas Investment Company (Mauritius) Limited (MOICML). The transaction, formalized on November 13, 2025, will result in MRUK ceasing to be a wholly-owned step-down subsidiary of Tech Mahindra upon completion, which is expected by December 31, 2025.

MOICML, a wholly-owned subsidiary of Mahindra and Mahindra Limited and categorized as a promoter group company of Tech Mahindra, will acquire MRUK for a consideration of £1.20m. This transaction is classified as a related party transaction and is being conducted on an arm's length basis.

MRUK, which became a wholly-owned step-down subsidiary of Tech Mahindra in June 2025, contributed INR 106.05 crores in revenue and INR 25.31 crores in net worth to Tech Mahindra's consolidated financials as of September 30, 2025. This divestment aligns with the company’s ongoing portfolio management strategies.
