VS Trust pledges TVS Holdings shares for $135 crore facility

VS Trust has created an encumbrance over equity shares of TVS Holdings Limited (THL) through a pledge agreement dated November 7, 2025. This action is in relation to a facility of INR 135,00,00,000 availed from HSBC InvestDirect Financial Services (India) Limited. The estimated security cover required for this facility is 1,80,000 equity shares of TVS Holdings Limited.

This pledge represents 0.89% of the total share capital of TVS Holdings Limited. Following this transaction, the total encumbered shares held by VS Trust (Mr. Venu Srinivasan, trustee) now stand at 36,53,575 shares, equating to 18.06% of the company's total share capital. The total promoter shareholding in THL is 1,50,63,398 shares, or 74.45% of the total share capital.

The disclosure, made under Regulation 31 of the Takeover Regulations, clarifies that the pledge has been created for general purpose borrowing. The value of shares on the date of the agreement was INR 270,22,00,000, resulting in a security cover ratio of 2.00.
