Prozone Realty to form subsidiary; director re-appointment still rejected

Prozone Realty Limited's board of directors approved the incorporation of a wholly owned subsidiary (WOS) during its meeting on November 12, 2025. This decision aligns with the company's strategic expansion in the construction and real estate sectors. The new entity, named Prozone Arcade Pvt Ltd or an alternative name approved by the Registrar of Companies, Maharashtra, will be incorporated in India.

The subsidiary will be established with a cash consideration for the subscription of shares. The total cost of subscription for 10,000 equity shares of Rs. 10 each amounts to Rs 1,00,000. Prozone Realty Limited will maintain 100% shareholding and control over the new subsidiary, reinforcing its full ownership.
