Brigade Enterprises seeks shareholder approval for independent director appointment

Brigade Enterprises Limited has announced a postal ballot to appoint Debashis Chatterjee as an independent director for a five-year term, effective from October 29, 2025, to October 28, 2030. Chatterjee, 60, brings over three decades of experience in driving multi-bn dollar transformations and strategic growth initiatives, having served on the boards of companies like Cognizant India, Mindtree, and LTIMindtree. He recently served as chief executive and managing director of LTIMindtree.

The e-voting period for the resolution will commence on Wednesday, November 12, 2025, at 9:00 a.m. (IST) and conclude on Thursday, December 11, 2025, at 5:00 p.m. (IST). Only members registered as of the cut-off date, Friday, October 31, 2025, are eligible to vote. The results of the postal ballot are expected to be declared on or before Monday, December 15, 2025.

Chatterjee's appointment is recommended by the nomination and remuneration committee and the board, citing his extensive background in finance, leadership, industrial development, and technology as valuable assets for strategic insights. He will receive sitting fees and commission in accordance with the Companies Act, 2013, and relevant rules. He does not hold any equity shares in the company and is not related to any other directors or key managerial personnel.
