Associated Alcohols to enter power generation, amends foundational documents

Associated Alcohols & Breweries Limited announced on November 8, 2025, that its board of directors has approved amendments to the Memorandum of Association (MOA) and Articles of Association (AOA). These changes are subject to shareholder approval and were disclosed under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The amendments specifically grant the company the power to "captively generate and captively consume electrical power." This new authority has been added to Clause III(A)(2) of the Memorandum of Association.

Furthermore, a new Clause 156(A) will be inserted into the Articles of Association. This clause will explicitly empower Associated Alcohols & Breweries Limited to "carry on the business of electricity generation and to captively generate and captively consume electrical power," formalizing its entry into this operational area. The company secretary, Abhinav Mathur, signed the announcement.
