Kolte-Patil Developers promoters revise share acquisition disclosure

Harshavardhan Naresh Patil and Priyanjali Naresh Patil, both promoters of Kolte-Patil Developers Limited, have submitted revised disclosures under Regulation 10(5) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations 2011. These revisions pertain to the acquisition of shares via inter-se gifts from Mrs. Vandana Naresh Patil. The original disclosures, submitted on October 28, 2025, were revised because the acquisition was not completed by November 4, 2025, due to technical reasons.

Harshavardhan Naresh Patil, part of the promoter group, intends to acquire 990,522 equity shares of INR 10 each, representing 1.11% of the total share capital, from Mrs. Vandana Naresh Patil. Priyanjali Naresh Patil, an immediate relative of a promoter, plans to acquire 1,902,645 equity shares of INR 10 each, constituting 2.15% of the total share capital from the same seller. Both acquisitions are inter-se transfers by way of gift, falling under the exemption of Regulation 10(1)(a)(i) for immediate relatives. The proposed acquisition date for both transactions is November 14, 2025.
