Honeywell India appoints new director, announces board resignation

Honeywell Automation India Limited (HAIL) announced a significant change to its board of directors, effective November 5, 2025. Jake Morgan Wasserman has been appointed as an additional non-executive non-independent director. This appointment, recommended by the nomination and remuneration committee, is subject to shareholder approval under SEBI Listing Regulations. Mr. Wasserman brings a strong legal and corporate governance background, holding a Juris Doctorate from Duke University School of Law and a Bachelors of Art from Drake University. He previously served as vice president and general counsel for Mergers & Acquisitions at Honeywell.

Concurrently, Pedro Thena Garrote resigned from his position as a non-executive non-independent director, also effective November 5, 2025. The board acknowledged and appreciated his contributions during his tenure. Mr. Thena Garrote's resignation letter indicated his departure was due to career opportunities outside Honeywell.

These changes are part of the company's ongoing governance adjustments and were formally communicated as per Regulation 30 of the SEBI Listing Regulations. The company has confirmed that Mr. Wasserman is not debarred from holding a director's office by any SEBI order or other authority.
