Coforge schedules meetings for Cigniti merger approval

Coforge Limited will convene meetings for its equity shareholders and various creditors on Saturday, December 06, 2025, to consider and approve a proposed scheme of amalgamation with Cigniti Technologies Limited. These meetings follow directions from the National Company Law Tribunal (NCLT), Chandigarh Bench, issued on October 17, 2025.

The equity shareholders’ meeting will take place at 10:30 AM (IST), secured creditors at 12:00 PM (IST), and unsecured creditors at 01:30 PM (IST). All meetings will be conducted via video conferencing or other audio visual means.

The board of directors of Coforge had approved the draft scheme on December 27, 2024. The scheme involves the amalgamation of Cigniti Technologies Limited (transferor company) with and into Coforge Limited (transferee company), along with their respective shareholders and creditors.
