Cemindia Projects Limited announces auditor change, appoints Price Waterhouse

Cemindia Projects Limited (formerly ITD Cementation India Limited) announced on November 5, 2025, that its statutory auditor, M/s. T R Chadha & Co LLP, Chartered Accountants, has resigned. The resignation is effective immediately following the submission of the Limited Review Report for the quarter and half-year ended September 30, 2025. The reason cited for the resignation is the management's intent, as part of the Adani Group, to align its process for appointing statutory auditors, aiming for globally affiliated firms to conduct audits for major listed group companies. The outgoing auditors stated no other material reasons or concerns.

Following the resignation, the board of directors, based on the audit committee's recommendation, approved the appointment of Price Waterhouse Chartered Accountants LLP (PWCA LLP) as the new statutory auditors. PWCA LLP will fill the casual vacancy and will audit the company's accounts for the financial year 2025-26, including the Limited Review for the third quarter. Their term will run until the conclusion of the 48th Annual General Meeting in 2026, subject to shareholder approval.

The remuneration for PWCA LLP will be mutually agreed upon by the board and the auditors, pending approval from the company's members. The board acknowledged and appreciated the services rendered by T R Chadha & Co LLP during their tenure.
