Modison Limited announces independent director change

Modison Limited announced on November 1, 2025, the completion of Ashok Shantilal Jatia's second term as a non-executive independent director, effective at the close of business hours on November 1, 2025. Consequently, Jatia has ceased to hold his positions as chairman of the audit committee, nomination & remuneration committee, and stakeholders' relationship committee, and as a member of the corporate social responsibility committee and the finance committee.

In a related development, Nandkishore Bafna has been appointed as a non-executive independent director for a five-year term, commencing November 1, 2025, and concluding on October 31, 2030. This appointment, which is not subject to retirement by rotation, received shareholder approval on October 25, 2025, via remote e-voting, as previously intimated on August 14, 2025.
