NRB Bearings promoter to increase stake in inter-se transfer

Harshbeena Sahney Zaveri, a promoter of NRB Bearings Limited, has announced the proposed acquisition of 27,024,177 equity shares of NRB Bearings. This acquisition, representing 27.88% of the company's share capital, is an inter-se transfer from Trilochan Singh Sahney Trust 1, also a promoter, and is scheduled to occur on or after November 06, 2025.

The transaction involves "Nil Consideration," indicating a non-cash transfer between entities within the promoter group, and will not alter the overall shareholding of the promoter group. Before this proposed acquisition, Harshbeena Sahney Zaveri held 13.60% of the company's share capital. Post-acquisition, her stake will increase to 41.48% of the total share capital.

Other promoters, including Aziz Yousuf Zaveri and Sahir Zaveri, maintain their respective shareholdings of 1.55% and 0.02%. The volume-weighted average market price for the 60 trading days preceding the notice was reported as ₹284.68.
