NIIT USA invests $13m in StackRoute Learning for growth

On October 30, 2025, NIIT (USA) Inc. ("NIIT USA"), a wholly owned subsidiary of NIIT Learning Systems Limited, announced decisions by its board concerning its step-down subsidiary, StackRoute Learning Inc ("SLI"). SLI, which provides managed learning services to the North American higher-education sector with a focus on technology programs, has historically been funded by NIIT USA through a mix of equity and debt.

To support growth in the corporate segment and strengthen SLI's balance sheet, NIIT USA's board approved an equity investment of $9m in SLI. This investment will replace or repay an existing $9m loan previously extended by NIIT USA to SLI. Additionally, NIIT USA will infuse an additional $4m in cash to meet SLI's funding requirements for growth and working capital.

These proposed equity investments are subject to applicable regulatory and customary approvals. The board of NIIT USA expects this decision to have no material impact on NIIT Learning Systems' consolidated financials. Upon completion of these actions, SLI will remain a wholly owned subsidiary of NIIT USA and a step-down subsidiary of NIIT Learning Systems.
