Kolte-Patil Developers: Promoters increase stakes through gift transfers

Ms. Priyanjali Naresh Patil, an immediate relative of a promoter, will acquire 1,902,645 equity shares of INR 10 each in Kolte-Patil Developers Limited, representing 2.15% of the total share capital. This acquisition, classified as an inter-se transfer by way of gift, is slated for November 4, 2025. This transaction will increase Ms. Patil's shareholding from 1.12% to 3.27%.

Concurrently, Mr. Harshavardhan Naresh Patil, also part of the promoter group, will acquire 990,522 equity shares of INR 10 each, totaling 1.11% of the company’s share capital, from Mrs. Vandana Naresh Patil. This transfer, also scheduled for November 4, 2025, is an inter-se transfer by way of gift. Mr. Patil's shareholding will increase from 2.16% to 3.27% after this transaction.

Both acquisitions are exempt from an open offer under Regulation 10(1)(a)(i) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, as they involve immediate relatives. Both the transferors and transferees have declared compliance with applicable disclosure requirements.
