HCL Technologies shareholders approve independent director appointment

HCL Technologies Limited announced the successful conclusion of its postal ballot through remote e-voting, resulting in the approval of Amitabh Kant's appointment as an independent director. The resolution was passed with the requisite majority on October 29, 2025.

The voting results showed strong support for the resolution. A total of 2.51 bn votes were cast, with 2.50 bn votes (99.8445% of valid votes cast) in favor and 3.9m votes (0.1555% of valid votes cast) against. Overall, 5,276 members participated in the voting process.

Promoters and promoter group cast 1.65 bn votes, all in favor (100%). Public institutions contributed 861.5m votes, with 857.8m in favor (99.5659%) and 3.7m against (0.4341%). Public non-institutions cast 1.25m votes, with 1.08m in favor (86.5245%) and 168,624 against (13.4755%).
