Megasoft subsidiary acquires UK aerospace and defence firm Nasmyth Group

Megasoft Limited announced that its wholly-owned subsidiary, Sigma Advanced Systems UK LTD, has signed a Share Purchase Agreement to acquire a 100% stake in Nasmyth Group Limited, a United Kingdom-based entity. The acquisition, valued at a cash consideration of £17.80m, is expected to close within four weeks, pending the fulfillment of condition precedents.

This strategic move is designed to provide Megasoft with a global platform in the Aerospace & Defence sector and aligns with the company's strategy for inorganic growth. Nasmyth Group, incorporated in England and Wales, specializes in complex precision engineering, manufacturing, advanced metal treatments, and special processes for OEM customers in the Aerospace and Defence sectors.

Nasmyth Group reported a turnover of £59.92m for the twelve-month period ending April 2025. The acquisition does not involve any related party transactions, with no interest from Megasoft's promoter or promoter group in the acquired entity.
