ICICI Prudential members approve non-executive director appointments

ICICI Prudential Life Insurance Company Limited announced that its members have approved the appointment of Naveen Tahilyani and Samit Upadhyay as non-executive directors. The approvals were granted via ordinary resolutions through a remote e-voting process, which closed on October 19, 2025.

For Naveen Tahilyani’s appointment, 99.15% of valid votes cast were in favor, totaling 1,304,876,457 votes from 1,962 members. Only 0.85% of valid votes, or 11,237,357 votes from 195 members, were cast against the resolution. Similarly, Samit Upadhyay’s appointment saw 99.28% of valid votes in favor (1,305,416,695 votes from 1,965 members) and 0.72% against (9,517,942 votes from 189 members).

The Scrutinizer's Report confirmed that both resolutions were passed with the requisite majority. The remote e-voting period ran from September 20, 2025, to October 19, 2025.
