Crompton Greaves shareholders back director appointment with strong majority

Crompton Greaves Consumer Electricals Limited has confirmed the successful passing of an ordinary resolution for the appointment of Sundaram Damodarannair as a non-executive non-independent director. The resolution, conducted through a postal ballot and e-voting, received substantial approval from shareholders, with 97.786% of the votes cast in favour.

A total of 502,341,443 votes were polled against the total outstanding shares of 643,852,913, reflecting a 78.021% participation rate. Of these, 491,219,112 votes were in favour of the resolution, while 11,122,331 votes were cast against it, representing 2.214% of the total valid votes.

The postal ballot process, which commenced on September 20, 2025, and concluded on October 19, 2025, was scrutinized by Alifya Sapatwala of Mehta & Mehta. The company’s board of directors has acknowledged the results, and the resolution passed with the requisite majority.
