Wardwizard promoter pledges more shares for financial assistance

Yatin Sanjay Gupte, promoter of Wardwizard Innovations & Mobility Limited, disclosed on October 18, 2025, the creation of a pledge over 1,000,000 equity shares. This pledge, in favor of M/S. Comfort Fincap Limited, secures financial assistance under a Financing/Credit Facility Agreement.

This transaction increases the promoter's encumbered shares from 41,821,729 to 42,821,729. The pledge represents 0.38% of the total share capital, bringing the promoter's total encumbered shares to 16.43% of the company's total share capital.

The disclosure, made to BSE Limited, adheres to Regulation 31(1) and 31(3) of SEBI (Substantial Acquisition of Shares and Takeover) Regulations, 2011, and was also informed to the board of directors of Wardwizard Innovations & Mobility Limited.

The total voting capital of Wardwizard Innovations & Mobility Limited is Rs. 26,06,93,900, divided into 260,693,900 equity shares of Re. 1/- each. This pledge comes as an additional encumbrance to an existing Deed of Share Pledge dated September 9, 2025, which also involved Mr. Gupte and M/S. Comfort Fincap Limited.
