NCLT approves amalgamation for TVS Supply Chain Solutions subsidiaries

TVS Supply Chain Solutions Limited announced on October 17, 2025, that the National Company Law Tribunal (NCLT), Bengaluru Bench, issued an order on October 13, 2025. This order directs SPC International (India) Private Limited, a transferor company, to dispense with the meeting of its equity shareholders. The order pertains to a scheme of amalgamation involving five transferor companies, including SPC International (India) Private Limited, with TVS Supply Chain Solutions Limited.

The NCLT's decision was based on 100% consent from the equity shareholders and the absence of secured and unsecured creditors in the applicant/transferor company. This dispenses with the need for meetings of equity shareholders, secured creditors, and unsecured creditors.

The NCLT order allows TVS Supply Chain Solutions to file a Second Motion Petition, with directions to send notice to various authorities. The scheme includes the issuance and allotment of 3,75,02,140 fully paid-up equity shares of Re.1 each of the transferee company to the equity shareholders of the transferor company.
