Vijaya Diagnostic merger with Medinova receives final NCLT approval

The NCLT Hyderabad Bench issued its final order on October 13, 2025, approving the Scheme of Amalgamation between Medinova Diagnostic Services Limited and Vijaya Diagnostic Centre Limited, effective from April 01, 2024. This follows initial communication from Vijaya Diagnostic Centre on September 29, 2025, confirming the NCLT's approval. The final order was made accessible on the NCLT website on Thursday, October 16, 2025.

The amalgamation aims to consolidate businesses, create synergies, and enhance shareholder value by combining diagnostic services.

Both companies have received "No adverse observations" from BSE Limited and National Stock Exchange of India Limited regarding the scheme. Vijaya Diagnostic Centre has also undertaken to settle outstanding dues, including INR 3.03 lakhs to Micro and Small Medium Enterprises (MSME), and to comply with all statutory obligations.
