Mangalore Chemicals amalgamation progresses, sets record date for share exchange

Mangalore Chemicals & Fertilizers Limited (MCFL) has announced October 16, 2025, as "Effective Date 2" for its composite scheme of arrangement with Paradeep Phosphates Limited. This date signifies the amalgamation of MCFL, the transferor company, into Paradeep Phosphates Limited, the transferee company, with effect from the "Appointed Date 2" of April 1, 2024. This follows previous disclosures confirming the dissolution of MCFL without winding up.

The board of directors of the transferee company met on October 16, 2025, and fixed Friday, October 31, 2025, as the "Record Date." This date will determine the MCFL shareholders entitled to receive fully paid-up equity shares of INR 10 each of Paradeep Phosphates Limited. As per the scheme, 187 fully paid-up equity shares of INR 10 each of the transferee company will be issued for every 100 fully paid-up equity shares of INR 10 each of the transferor company.
