Happiest Minds merger scheme with subsidiary approved by Bengaluru NCLT

Happiest Minds Technologies Limited has received the certified true copy of the final order from the National Company Law Tribunal (NCLT), Bengaluru Bench, approving the Scheme of Amalgamation with Sri Mookambika Infosolutions Private Limited. The NCLT's order, dated September 25, 2025, designates April 1, 2025, as the appointed date for the merger.

This approval follows earlier disclosures in October 2024, September 2024, and March 2024 regarding the scheme. Sri Mookambika Infosolutions Private Limited, a wholly-owned subsidiary, will be merged into Happiest Minds Technologies Limited. The consolidation aims to simplify the management structure, enhance financial strength, and optimize resource utilization.

The NCLT's corrigendum order, dated October 13, 2025, clarified that while the scheme was approved, the effective date for the merger is April 1, 2025, which also represents the appointed date for the scheme.
