Eternal announces internal restructuring of Blinkit food service business

Eternal Limited, formerly Zomato Limited, announced an internal restructuring through a Business Transfer Agreement (BTA) between its wholly-owned subsidiaries, Blink Commerce Private Limited (BCPL) and Blinkit Foods Limited (BFL). The BTA involves the transfer of the "Bistro by Blinkit" quick food service business from BCPL to BFL via a slump sale for ₹57,00,00,000.

The transfer, effective October 16, 2025, is primarily for internal restructuring to develop the quick food service business under BFL. The Bistro Business contributed ₹0.20 crore to revenue for FY 2024-25, representing 0.005% of BCPL's revenue and 0.002% of Eternal's standalone revenue. Its net worth as of March 31, 2025, was ₹16 crore.

This transaction qualifies as a related party transaction and is conducted at arm's length. BFL, incorporated on August 18, 2025, will now operate the "Bistro by Blinkit" brand.
