Zuari Maroc Phosphates acquires 24.50% stake in Mangalore Chemicals

Zuari Maroc Phosphates Private Limited has acquired 2,90,37,000 equity shares, representing a 24.50% stake, in Mangalore Chemicals & Fertilizers Limited. This off-market transfer, executed on October 13, 2025, is part of a composite scheme of arrangement involving Mangalore Chemicals & Fertilizers Limited, Paradeep Phosphates Limited, and their stakeholders. Following this acquisition, Zuari Maroc Phosphates now holds 2,90,37,000 shares, bringing its total voting capital to 24.50%.

Concurrently, Zuari Agro Chemicals Limited sold 2,90,37,000 equity shares of Mangalore Chemicals & Fertilizers Limited on the same date. Prior to this sale, Zuari Agro Chemicals held 6,40,28,362 equity shares, representing 54.03% of the total voting capital. After the transaction, its holding in Mangalore Chemicals & Fertilizers Limited decreased to 3,49,91,362 shares, or 29.53% of the total voting capital.

Both transactions involved equity shares with a face value of INR 10 each. The total equity share capital of Mangalore Chemicals & Fertilizers Limited remains at INR 1,18,51,51,500, divided into 11,85,15,150 equity shares of INR 10 each, both before and after these acquisitions and sales.
