Accelya Solutions India to hold 39th AGM, change auditors

Accelya Solutions India Limited will hold its 39th Annual General Meeting (AGM) on Thursday, November 6, 2025, at 10:30 a.m. IST, via video conferencing. A key agenda item is the proposed appointment of Walker Chandiok & Co. LLP as statutory auditors for five years, replacing Deloitte Haskins & Sells LLP, whose term expires at the upcoming AGM. The new auditors' fees for FY 2025-26 are projected at ₹6,400,000, representing approximately a 20% reduction from the fees paid to Deloitte for FY 2024-25.

The AGM will also seek approval for several material related party transactions, including with Accelya World S.L.U., Accelya Global Limited, Accelya Middle East FZE, and Accelya US Inc. These transactions are anticipated to exceed 10% of the company's consolidated turnover for FY 2024-25. Additionally, shareholders will vote on the revision of remuneration for gurudas shenoy, managing director, for the period from July 1, 2025, to June 30, 2026, with an overall remuneration not exceeding ₹2,84,72,187 per annum.

The company's promoter, Accelya Holding World S.L.U., holding 74.66% of equity shares, will not be eligible to vote on the ordinary resolutions concerning related party transactions. The cut-off date for determining shareholder eligibility to participate in the AGM is October 30, 2025.
