KPIT Technologies updates on Caresoft acquisition payments

KPIT Technologies, through its UK and USA entities, has provided an update on its acquisition of Caresoft Global Technologies, Inc. USA, Caresoft Engineering Services Limited, UK, CAREGLOTECH de RL de CV Mexico, and OXI SRL Italy. Initially announced on May 6, 2025, with a total consideration of up to $191 million, the terms were later renegotiated on August 8, 2025, finalizing the acquisition for $157 million, including a $15 million variable pay.

Prior to the completion of the renegotiated deal, KPIT Technologies Limited, India, infused €28 million and $28 million into KPIT Technologies (UK) Limited and KPIT Technologies Holding Inc, USA, respectively, as equity share capital.

Following the satisfaction of conditions precedent as of August 15, 2025, KPIT Technologies (UK) Limited and KPIT Technologies Inc, USA, paid an initial consideration of $51 million for 100% equity shares of Caresoft Global Technologies, Inc. USA, Caresoft Engineering Services Limited, UK, and CAREGLOTECH de RL de CV Mexico. Most recently, KPIT Technologies (UK) Limited has paid an additional $6 million to acquire 100% equity shares of OXI SRL Italy.
