Cyient shareholders approve new independent directors, B.V.R. Mohan Reddy continuation

Cyient Limited today announced the successful completion of a postal ballot, with shareholders approving three special resolutions. P.R. Ramesh and Professor Madan Pillutla were appointed as non-executive, independent directors, receiving significant shareholder support. Mr. Ramesh’s appointment saw 90.67% of total valid votes in favor, with Professor Pillutla receiving 99.99% approval.

Additionally, shareholders approved the continuation of directorship for B.V.R. Mohan Reddy as a non-executive, non-independent director, despite him having attained 75 years of age. This resolution garnered 97.92% of the valid votes in favor. The postal ballot results, based on a remote e-voting process, were announced on October 10, 2025.

The total shares held by members on the record date, October 10, 2025, were 111,085,026. The total votes polled for all three resolutions ranged from 81,974,082 to 81,974,448, representing approximately 73.79% of the total outstanding shares. These approvals ensure continuity and new expertise on Cyient’s board, reinforcing its governance structure.
