Cello World advances scheme of arrangement after NCLT approval

The National Company Law Tribunal (NCLT), Ahmedabad Bench, on October 7, 2025, issued an order on Cello World Limited's first motion application for a scheme of arrangement. This scheme involves Wim Plast Limited (WPL), Cello Consumer Products Private Limited (CCPPL), and Cello World Limited (CWL), aiming to simplify management and operations, increase efficiencies, and generate synergies. The NCLT has directed that court-convened meetings for equity shareholders and unsecured creditors be held on December 6, 2025.

The scheme proposes the demerger and vesting of the Demerged Undertaking from WPL into CCPPL, followed by the issuance of equity shares by CWL to WPL shareholders. Subsequently, WPL will amalgamate with CWL. As of June 30, 2025, Wim Plast Limited has 10,921 equity shareholders with total equity shares amounting to INR 1,20,03,360, and 1,153 unsecured creditors with a total outstanding amount of INR 13,95,61,874. Cello Consumer Products Private Limited has 2 equity shareholders (INR 1,00,000) and 2 unsecured creditors (INR 1,67,500). Cello World Limited has 1,23,494 equity shareholders (INR 1,10,44,25,170) and 1,192 unsecured creditors (INR 210,74,52,823.74).

Meetings for Wim Plast Limited's equity shareholders and unsecured creditors are scheduled for December 6, 2025, at 10:00 A.M. and 11:30 A.M. respectively. Cello Consumer Products Private Limited's equity shareholders and unsecured creditors will meet on the same day at 2:00 P.M. and 2:30 P.M. Cello World Limited's equity shareholders and unsecured creditors will convene on December 6, 2025, at 3:00 P.M. and 5:00 P.M. respectively, all via video conferencing (VC). The scheme remains subject to further regulatory and other approvals.
