NCLT approves Syrma SGS merger to streamline operations

The National Company Law Tribunal (NCLT) Mumbai Bench issued an order on October 7, 2025, sanctioning the Scheme of Amalgamation between SGS Infosystems Private Limited, SGS Tekniks Manufacturing Private Limited, and Syrma SGS Technology Limited. This approval solidifies Syrma SGS's move to prevent cost duplication, enhance financial efficiencies, and reduce managerial overlap.

The Appointed Date for the scheme is April 1, 2023. The NCLT's decision follows an assessment of the scheme, which was deemed fair and reasonable and not in violation of any legal provisions, with no objections received from authorities, creditors, or members. The Transferee Company has undertaken to comply with all tax liabilities and legal proceedings related to the Transferor Companies.

Key financial details include the Transferee Company's net worth of INR 1,767.78m (paid-up share capital) and INR 13,817.17m (other equity) as of September 30, 2023. Transferor Company 2 had an outstanding income tax demand of Rs. 9,59,52,448 as of March 5, 2025, which has since been fully discharged.
