eClerx Services Limited has informed stock exchanges about the merger of its wholly-owned step down subsidiary, ASEC Group LLC, with Personiv Contact Centers, LLC, effective October 1, 2025. Both entities were acquired by eClerx Services Limited in December 2020. The company received intimation of the merger on October 7, 2025.

For the financial year ended March 31, 2025, ASEC Group LLC reported a turnover of INR 571.96 million and a profit after tax of INR 92.05 million. Personiv Contact Centers, LLC, recorded a turnover of INR 0.00 million and a loss after tax of INR (26.20) million during the same period. The merger aims to consolidate entities for a more efficient corporate structure and reduce administrative costs.

The transaction is classified as among wholly-owned step down subsidiaries, making it exempt from certain related party transaction regulations. There is no cash consideration or issue of new shares as part of the merger, and the shareholding pattern of eClerx Services Limited remains unchanged.
