Windsor Machines moves registered office to Gujarat, amends share capital

Windsor Machines Limited (WML) has announced the successful relocation of its registered office from Maharashtra to Gujarat, effective October 6, 2025. The new address is Floor 3 & 4, Block B, Magnet Corporate Park, OFF. S G Highway, Thaltej Road, Ahmedabad-380054, Gujarat. This change follows approval from the Ministry of Corporate Affairs via a Certificate of Registration of Regional Director Order and amends Clause II of the company's Memorandum of Association.

The relocation was confirmed by a Regional Director Order dated September 15, 2025, and is a result of a special resolution passed by members on July 3, 2025, through a postal ballot. This strategic shift is expected to streamline operations and aligns with the company's long-term objectives as outlined in its amended Memorandum of Association, which also details a revised equity share capital structure.

The company's equity share capital now stands at INR40,00,00,000, comprising 15,00,00,000 ordinary equity shares of INR2 each and 5,00,00,000 differential voting rights shares of INR2 each. This capital structure was most recently increased from INR20 crores to INR40 crores by a special resolution on May 12, 2011.
