Wardwizard promoter pledges shares for financial aid

Wardwizard Innovations & Mobility Limited announced that its promoter, Yatin Sanjay Gupte, has pledged 3,700,000 equity shares of the company to M/S. Comfort Fincap Limited. This transaction, dated September 29, 2025, is intended to secure financial assistance under the terms of a Financing/Credit Facility Agreement. Prior to this pledge, Gupte held 48,566,153 shares (18.63% of voting capital) and had 38,121,729 shares (14.62%) already encumbered.

The creation of this pledge increases the total encumbered shares held by Gupte to 41,821,729 shares, representing 16.04% of the company's total share capital. The disclosure, made on October 3 and 4, 2025, adheres to Regulation 29(2) and Regulation 31(1) & 31(3) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, as well as SEBI's Master Circular dated February 16, 2023.

The total equity share capital of Wardwizard Innovations & Mobility Limited is stated as INR 2,606,939,000, divided into 260,693,900 equity shares of INR 1 each, both before and after the pledge. This pledge creates no change in the promoter's direct holding but increases the proportion of encumbered shares.
