S Chand promoter Neerja Jhunjhunwala significantly increases stake

Neerja Jhunjhunwala, a promoter of S Chand and Company Limited, acquired 77,185,400 equity shares through a series of off-market inter-se transfers via gift on September 30, 2025. This acquisition significantly boosted her total voting capital in the company.

Prior to these transactions, Neerja Jhunjhunwala held 4,008,345 shares, representing 11.37% of the total voting capital. Following the acquisition, her holding increased to 8,000,845 shares, now constituting 22.70% of the total voting capital. The shares were transferred from Gaurav Kumar Jhunjhunwala and Dinesh Kumar Jhunjhunwala, both part of the promoter group.

Gaurav Kumar Jhunjhunwala transferred 532,500 shares, reducing his stake from 1.68% (592,000 shares) to 0.17% (59,500 shares). Dinesh Kumar Jhunjhunwala transferred 3,460,000 shares, decreasing his holding from 10.91% (3,846,854 shares) to 1.09% (386,854 shares). The equity share capital of the target company remains 35,249,632 equity shares of Rs. 5/- per share.
