Ram Ratna Wires: Promoter group discloses share transfer post-amalgamation

Ram Ratna Research and Holdings Private Limited, part of the promoter group of Ram Ratna Wires Limited, has disclosed a share transfer under SEBI regulations. The disclosure, dated October 3, 2025, details the transfer of 6,800,000 shares, representing 14.58% of the total share/voting capital, to Hemlata Home Solutions Private Limited.

This transaction occurred on October 1, 2025, as part of a scheme of amalgamation between Ram Ratna Research and Holdings Private Limited and Jag-Bid Finvest Private Limited with Hemlata Home Solutions Private Limited. The scheme was approved by the National Company Law Tribunal, Mumbai Bench, on September 11, 2025.

The reporting entity clarified that this internal promoter group transaction does not alter the aggregate holding of the promoter and promoter group in Ram Ratna Wires Limited. Post-transaction, the promoter and promoter group will collectively hold 3,21,39,492 equity shares, accounting for 68.93% of the total equity share capital. The total equity share capital of Ram Ratna Wires Limited before and after the acquisition/sale stands at INR 23,31,32,680, comprising 4,66,26,536 shares of INR 5 each.
