Adani Ports proposes Manish Kejriwal as independent director

Adani Ports and Special Economic Zone Limited (APSEZ) issued a notice of postal ballot on October 3, 2025, seeking shareholder approval for the appointment of Manish Kejriwal as an independent director. Kejriwal was initially appointed as an additional director effective August 5, 2025, for a three-year term, and his appointment has been recommended by the Nomination and Remuneration Committee.

The e-voting period for this resolution commences on Sunday, October 5, 2025, and concludes on Monday, November 3, 2025. Shareholders as of the cut-off date, Friday, September 26, 2025, are eligible to cast their votes electronically. The results of the postal ballot are expected to be submitted to the stock exchanges within two working days of the e-voting conclusion.

Kejriwal brings over 30 years of experience in private equity and consulting, having founded the India office of Temasek Holdings Pte. Ltd. and served as a partner at McKinsey & Company, Inc. He holds an AB from Dartmouth College and an MBA from Harvard University. His remuneration will be by way of commission as decided by the board, not exceeding 1% of the annual net profits of the company, in addition to sitting fees.
