Abhishek Khaitan to increase Radico Khaitan stake via gift deed

Abhishek Khaitan, a promoter of Radico Khaitan Limited, will acquire 276,145 equity shares of the company from Lalit Kumar Khaitan and as Karta through an inter-se transfer by way of a gift deed. This acquisition represents 0.21% of Radico Khaitan’s total share capital. The transfer is scheduled to occur any time after October 10, 2025.

Prior to the transaction, Abhishek Khaitan held 86,065 shares, constituting 0.06% of the total share capital. Following the acquisition, his shareholding will increase to 362,210 shares, representing 0.27% of the company's total share capital. The disclosure emphasizes that there will be no change in the total shareholding of the promoter and promoter group after this inter-se transfer.

The acquisition is being conducted under Regulation 10(1)(a)(i) & (ii) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, which exempts the acquirer from making an open offer. No consideration is involved in this gift-based transfer.
