Adani subsidiary acquires two highway firms, expands infrastructure portfolio

Adani Road Transport Limited (ARTL), a wholly owned subsidiary of Adani Enterprises Limited, announced the execution of a Share Purchase Agreement on September 30, 2025. This agreement involves the acquisition of 100% stake in Yashodhan Highways Private Limited (YHPL) and KN Highways Development Private Limited (KNHDPL). The transactions are subject to regulatory approvals and customary conditions precedent.

ARTL will acquire 100% of YHPL from Yashodhan Highways Private Limited and DRN Infrastructure Private Limited. Concurrently, ARTL will acquire 100% of KNHDPL from KN Highways Development Private Limited and DRN Infrastructure Private Limited. As of the execution date, ARTL held no prior shareholding in either YHPL or KNHDPL.

These acquisitions represent a strategic expansion for Adani Enterprises Limited in the road infrastructure sector. The transactions were disclosed to both BSE Limited and National Stock Exchange of India Limited on October 1, 2025, in compliance with SEBI regulations.
