G R Infraprojects acquires Rajgarh Neemuch Power Transmission

G R Infraprojects Limited (GRIL) has acquired Rajgarh Neemuch Power Transmission Limited (RNPTL), making it a wholly-owned subsidiary. This transaction follows a Share Purchase Agreement with REC Power Development and Consultancy Limited.

The acquisition stems from GRIL receiving a Letter of Intent for the "Transmission system for Evacuation of Power from RE Projects in Rajgarh (1500 MW) SEZ in Madhya Pradesh-Phase III and Evacuation of Power from RE Projects in Neemuch (1000 MW) SEZ in Madhya Pradesh-Phase II." Acquiring RNPTL was a prerequisite of the Request for Proposal (RFP) for undertaking this project.

The acquisition involved the purchase of 50,000 equity shares of RNPTL, each valued at INR 10/-, for a total consideration of INR 18,88,04,664. RNPTL, incorporated on June 17, 2025, is engaged in Power Transmission and Distribution. As it was recently incorporated, the company has no reported turnover for the last three financial years. The acquisition, completed on September 29, 2025, does not involve any related party transactions.
