Sunflag Iron & Steel shareholders approve all resolutions at AGM

Sunflag Iron & Steel Company Limited's 39th Annual General Meeting (AGM) saw shareholders approve all ten ordinary and special resolutions, including the adoption of financial statements and the declaration of a final dividend. The meeting, conducted virtually on Friday, September 26, 2025, achieved full approval for all agenda items.

Key resolutions passed included the adoption of the Audited Financial Statements for the financial year 2024-25, with 99.99% of polled votes in favor. Shareholders also approved a final dividend of ₹0.75 per share, with 99.99% voting in favor. The re-appointment of Mr. Suhrit Bhardwaj as a director received 99.47% approval, while the appointment of M/s. Lodha & Co. LLP as statutory auditors passed with 99.99% support.

The re-appointments of CA Vinita Bahri and CA Mattegunta Anjani Venkatramana Goutham as independent directors also secured strong support, with 99.81% and 99.82% of polled votes in favor, respectively. Mr. Pranav Bhardwaj's re-appointment as managing director received 99.26% approval. Furthermore, the appointment of M/s. DM & Associates Company Secretaries LLP as secretarial auditors and the ratification of the cost auditors' remuneration both passed with 99.99% approval.
