Shiva Cement to shift registered office to Maharashtra, modifies guarantees

Shiva Cement Limited announced that its shareholders have approved a special resolution to shift the company's registered office from Odisha to Maharashtra, including a consequent alteration to its Memorandum of Association. The resolution, which concluded on September 28, 2025, passed with 91.27% of votes in favor.

Additionally, shareholders approved two ordinary resolutions to materially modify the corporate guarantee from JSW Cement Limited for a term loan facility and a material related party transaction with JSW Cement Limited. The corporate guarantee modification passed with 94.38% in favor, while the related party transaction modification received 94.57% shareholder approval. The e-voting period for these resolutions was held from August 30, 2025, to September 28, 2025, with 58,193 shareholders on record. As per Regulation 23(4) of SEBI LODR, the promoter and promoter group abstained from voting on the related party items.
