Rohit Relan family trust acquires controlling stake in NDR Auto Components

On September 26, 2025, the Rohit Relan Family Trust acquired 17,395,361 equity shares, representing a 73.13% stake, in NDR Auto Components Limited. This acquisition occurred through an off-market gift transfer from promoter and promoter group entities, without payment of consideration. The transaction was facilitated under a SEBI exemption dated August 13, 2025, which exempts it from certain SAST Regulations.

Prior to this acquisition, various individuals within the promoter group held shares: Rohit Relan (40.88%), Rohit Relan Jt. Ritu Relan (7.31%), Ritu Relan Jt. Rohit Relan (12.54%), Ayush Relan (3.94%), Ayush Relan Jt. Rohit Relan (0.20%), Pranav Relan (3.96%), Pranav Relan Jt. Rohit Relan (0.17%), Rishabh Relan (3.96%), and Rishabh Relan Jt. Rohit Relan (0.17%). The total share capital of the company remains INR 237,853,040, comprising 23,785,304 equity shares of INR 10 each.

Following the transfer, the Rohit Relan Family Trust now holds the entire 73.13% of NDR Auto Components' total share/voting capital. The acquirer, not previously named as a promoter/promoter group, officially became part of the promoter group post-acquisition, as permitted by the SEBI Exemption Order.
