Godrej Agrovet warned by SEBI for disclosure delays

Godrej Agrovet Limited announced on September 29, 2025, that it has received an administrative warning from the Securities and Exchange Board of India (SEBI) for violating SAST Regulations, 2011. The warning pertains to delayed disclosures of changes in shareholding in Astec Lifesciences Limited, where acquisitions exceeded 2% of total shareholding.

SEBI identified four instances of delayed disclosure related to acquisitions made on February 9, 2017; March 20, 2019; February 28, 2020; and March 27, 2020. The delays ranged from 11 days to 2,725 days. The violations specifically cited were under Regulation 29(2) and Regulation 29(3) of SAST Regulations.

The company has been warned to prevent future recurrences, with SEBI indicating serious enforcement action for any repeated violations. Godrej Agrovet confirmed that this administrative warning has no material impact on the financial operations or other activities of the company.
